On 26 February 2026, the first meeting of the newly appointed Supervisory Board of JSC “NNEGC “Energoatom” took place. The Board commenced its work exactly 100 days after the announcement of the competitive selection process for new Supervisory Board members. All seven members of the Supervisory Board took part in the meeting, along with Pavlo Kovtonyuk, Acting Chief Executive Officer of the Management Board, the company’s senior management team, and independent advisers.
Formed as a result of an open and competitive selection process, the Supervisory Board consists of four independent international experts and three representatives of the state. Rumina Velshi, former President of the Canadian Nuclear Safety Commission and a globally recognised expert in nuclear safety and regulation, was elected Chair of the Supervisory Board. Patrick Fragman, former CEO of Westinghouse Electric Company and a leading executive in the global nuclear energy sector, was elected Deputy Chair.
The independent members of the Supervisory Board also include Laura Garbenčiūtė-Bakiėnė, an expert in corporate governance and the energy sector, and Brice Bouillon, a French diplomat and expert in strategic management.
The state is represented on the Supervisory Board by Daria Marchak and Vitalii Kindrativ, Deputy Ministers of Economy, Environment and Agriculture of Ukraine, as well as Maksym Malashkin, representative of the Ministry of Energy of Ukraine.
To ensure effective operation and compliance with the company’s charter, the Supervisory Board unanimously decided to establish four specialised committees.
The Audit and Risk Committee is chaired by Laura Garbenčiūtė-Bakiėnė, with Brice Bouillon and Daria Marchak as members. The Nomination and Remuneration Committee is chaired by Brice Bouillon, with Patrick Fragman, Laura Garbenčiūtė-Bakiėnė, Vitalii Kindrativ, and Maksym Malashkin serving as members.
The Environment, Health, Safety and Quality (EHSQ) Committee is chaired by Rumina Velshi, with Laura Garbenčiūtė-Bakiėnė and Maksym Malashkin as members. The Strategy and Financial Planning Committee is chaired by Patrick Fragman, with Rumina Velshi, Vitalii Kindrativ, and Daria Marchak serving as members.
The executive body was instructed to prepare the regulations for the two newly established committees within 30 days and to update existing internal regulations in line with international best practices in corporate governance.
During the meeting, the company’s management reported on Energoatom’s return to profitability, compliance with nuclear safety regulations, and the strengthening of physical protection of facilities under martial law. The Supervisory Board also reviewed an interim report by Crow Ukraine regarding the company’s financial statements, dividend policy, and procurement procedures.
Among the key organisational and personnel decisions was the approval of the Supervisory Board’s work plan for 2026, which includes eight regular meetings, in both online and off-site formats. The Supervisory Board also formally terminated the powers of Hartmut Jakob, a member of the Management Board, from which he had previously been suspended by a government decision on November 12, 2025, following his dismissal.
In addition, the Supervisory Board approved the introduction of a systematic monitoring mechanism for the implementation of Board decisions, the creation of a register of legislative inconsistencies, and the deployment of the Diligent communication system to enhance the efficiency of the Supervisory Board’s work.
