According to the Procedure for competitive selection of candidates for the position of Independent Member of the Supervisory Board of a state unitary enterprise and their appointment, as well as competitive selection of candidates for the position of Independent Member of the Supervisory Board of a company in the authorized capital of which more than 50 percent of shares (interest) belong to the state, proposed by the subject of management of state-owned objects prior to the election to the position of Independent Member of the Supervisory Board, approved by the Resolution of Cabinet of Ministers of Ukraine dated March 10, 2017 № 142, the Resolution of the Cabinet of Ministers of Ukraine dated September 3, 2008 No. 777 “On competitive selection of heads of economic entities of the public sector of the economy ", the Order of the Ministry of Health of Ukraine from June 29, 2021 № 1295" On the announcement of the competitive selection of candidates for Independent Members of the Supervisory Board of especially important for the economy of the state enterprise "Medical Procurement and Ukraine", announces the competitive selection for the post of Independent Member of the Supervisory Board of the state enterprise "Medical Procurement of Ukraine".

Name of the enterprise: state enterprise “Medical Procurement of Ukraine” (SE «MedProcurement of Ukraine» – short name).

Address: Ukraine, Kyiv, Hrushevskoho street, 7, EDRPOU Code – 42574629.

Number of the Independent members of the Supervisory Board selected in the competition – 5 (five) persons.

State enterprise “Medical Procurement of Ukraine” – the only national agency that provides centralized procurement of quality medicines and medical products from the state budget.

SE “MedProcurement of Ukraine” was established on October 25, 2018, is state-owned and belongs to the Ministry of Health of Ukraine. It is a particularly important enterprise for the economy, because, according to financial statements, the value of assets at the end of 2020 amounted to more than UAH 2 billion.

The purpose of the enterprise is to provide consulting and other activities aimed at organizing and conducting procedures for procurement of medicines, medical devices, aids, medical equipment and other medical goods and services, as well as procurement under framework agreements of medical goods and services for customers, in accordance with the Law of Ukraine "On Public Procurement".

The main activities of the SE "MedProcurement of Ukraine":

  • organization and conducting of procedures for procurement of medical goods and services in the interests of customers in accordance with current legislation of Ukraine;
  • provision and / or organization of import of medical goods and services, their customs clearance, temporary storage and delivery to customers, including with the involvement of third parties, wholesale and retail trade;
  • providing consulting, information support and educational activities in the field of public procurement;
  • provision of information services on procurement of medicines and medical devices;
  • development of recommendations for strategic planning of health procurement at all levels;
  • conducting tenders (bidding) and procurements under framework agreements in the interests of customers in accordance with the legislation;
  • development, improvement and unification of documentation related to public procurement;
  • market monitoring for the availability of goods and services.

Potential Candidates must meet the following requirements:

  • Complete higher education in one of the areas - medicine, governance and administration, finance, economics, auditing, banking, manufacturing and technology, international relations, legal;
  • Professional experience on management positions not less than five years or public administration positions or equivalent also not less than five years;
  • Integrity, impartiality and impeccable business reputation;
  • Shall not hold elected positions and being the officials of public authorities and / or local governments;
  • Availability of full civil capacity;
  • No outstanding conviction;
  • A candidate is not and has not been, for the past six years the founder, shareholder (participant), manager, non-executive director of the supervisory board, employee or representative of the person to whom the Government of Ukraine has applied personal, special economic or other restrictive measures (sanctions).

The candidate must satisfy the following independence criteria according to the legislation of Ukraine:

  • has not been a member of governing bodies for the past five years for SE «MedProcurement of Ukraine» and / or its affiliated legal entities (subsidiaries, branches);
  • does not receive and / or has not received within the previous three years from SE «MedProcurement of Ukraine» and / or its affiliated legal entities additional remuneration in excess of 5 percent of that person's total annual income for each of those years;
  • does not own (directly or indirectly) 5 percent or more of the authorized capital for SE «MedProcurement of Ukraine» or is not an official or a person who performs managerial functions, and is also a natural person - entrepreneur who during the past year has had significant business relations with the company and / or its affiliated legal entities. (Business relations are the supply of goods to the company and / or its affiliates or the provision of services (including financial, legal, consulting), or the consumption of goods or services provided by the company and / or its affiliates.
  • is not and / or has not been an independent auditor for the previous three years for SE «MedProcurement of Ukraine» and / or its affiliated legal entities;
  • is not and / or has not been an employee of an audit firm that provided audit services for the previous three years to SE «MedProcurement of Ukraine» and / or its affiliated legal entities;
  • is not and / or has not been an employee for the previous three years of SE «MedProcurement of Ukraine» and / or its affiliated legal entities;
  • is not a shareholder - the owner of the majority shareholding of SE «MedProcurement of Ukraine» and / or is not a representative of the shareholder - the owner of the controlling stake in this company in any civil relations;
  • has not been a member of the SE «MedProcurement of Ukraine» Supervisory Board for more than total 12 years;
  • cannot be the founder, shareholder (participant), chairman and / or member of the supervisory board of an enterprise, other business company operating in the same or related markets with SE «MedProcurement of Ukraine» (according to part three of Article 112 of the Law of Ukraine "On Management of objects of state property ");
  • is not a close person to the persons mentioned in the provisions above. (For the purposes of this caveat, a close person is a cohabitant who has a shared life and has mutual rights and obligations with the person referred to in paragraph 9 of Part One of this Article of the Law of Ukraine on Joint Stock Companies (except for persons whose mutual rights and responsibilities are not family-related with the subject), including cohabiting persons, but not married, and (regardless of these conditions) spouse, father, mother, stepfather, stepmother, son, daughter, stepson, stepdaughter, sibling, grandfather, grandmother, great-grandfather, great-grandmother, grandson, granddaughter, great-grandson, great-granddaughter, son-in-law, sister-in-law, father-in-law, mother-in-law, adoptive parent or adopted son or adopted daughter, guardian or caregiver, a person under the guard or care of that person).

The Candidates for the Independent Supervisory Board Member roles of SE “MedProcurement of Ukraine” should have one or more of the following professional competencies:

  • Corporate Governance:
  • Experience of work as a Supervisory Board Member of large companies. Experience of being a Head of one of the committees will be an advantage.
  • Profound understanding of Corporate Governance principles and foundations.
  • Experience of successful development and/or transformation of Corporate Governance system.
  • Additional education in corporate governance and MBA will be an advantage.
  • Finance and audit:
  • Experience of work in finance and audit areas on managerial positions (Member of the Board responsible for finance, Partner of an Audit or Consulting Firm, Supervisory Board Member).
  • Experience in development of a business / financial plan of the company and budgeting.
  • Experience in ensuring of efficient and purposeful use of material and financial resources, management of the company’s profitability.
  • Experience in developing recommendations for the efficiency of projects / investments improving, the financial stability of the company improving.
  • Investment analysis skills (analysis of transactions / investments / operations from economic, market, financial and other points of view).
  • Experience in developing internal control systems and execution of companies’ audits.
  • МВА, ACCA, CFA will be an advantage.
  • Ukrainian and international medical products markets:
  • Experience of work on managerial position in pharmaceutical, healthcare spheres (Board Member, CEO, the Supervisory Board Member).
  • Understanding of medical products public procurement. Understanding of processes of marketing, sales and production of medical products and medicines.
  • Procurement and Logistics:
  • Experience in procurement and logistics on managerial position (Board Member responsible for procurement, Procurement Director, Supervisory Board Member).
  • Knowledge of respective laws, resolutions, orders of higher authorities and procedures of products, services procurement with the state budget money.
  • Experience in organization, coordination, and management of competitive bidding processes.
  • Strategy and performance management:
  • Experience of work on managerial positions in large companies (CEO, Member of the Board, Supervisory Board Member).
  • Experience in strategy for large enterprises successful development or implementation.
  • Experience in complex projects of organizational changes development or management (transformation of business model, organizational restructuring, M&A).
  • Experience in development, implementing and automatization of effective business processes.
  • Skills of successful management under uncertainty, ability to initiate and manage the process. The ability to create a clear vision of the company’s strategy and its development.
  • МВА will be an advantage.
  • Legal:
  • Experience in legal support on managerial positions (Member of the Board for Legal and Regulatory Affairs, Partner of a Law Firm, Supervisory Board Member). Experience of work in large international projects.
  • Knowledge of legal and regulatory acts governing the company. Ability to navigate changing legislation. Skilled in legal risks assessment and management.
  • Deep practical knowledge in different areas of law (Ukrainian and/or international). Experience in legal concept and mechanisms development.
  • Experience in participation in legislative activity, writing of legal and regulatory acts, amendments initiation will be an advantage.
  • Experience of work with the regulatory framework in the field of healthcare in Ukraine and European Union.
  • Experience in interaction with regulatory and inspection authorities in the field of healthcare and/or public procurement.
  • LLM will be an advantage.

Additional requirements:

  • Professional experience in one of the following areas - strategic management and business development, operational management focused on organization and implementation of public procurements and other services, risk management, finance management and auditing, banking, international relations, legal;
  • Professional knowledge and skills in the area of public procurements, tendencies and development prospective, legislation;
  • Professional experience acting as a Supervisory Board Member of entity, conflict management and negotiations, strategic and operational management, public entities reporting control on operational results, ensuring effectiveness of internal control function, including auditing;
  • Strategic thinking;
  • Leadership skills;
  • Change management and orientation on result;
  • Under otherwise equal conditions for meeting with the general requirements for candidates for the position of a member of the Supervisory Board of the Enterprise, preference is given to persons who have professional experience of working in international companies in the areas of strategic management and business development, crisis management, operational management (including the organization and implementation of procurement and other services), finance and auditing, as well those who has fluent English. 

Expected functions of Supervisory Board Members of SE “MedProcurement of Ukraine”

  • Participation in Committees’ work.

The Supervisory Board may form standing and temporary Committees. Standing Committees such as the Audit Committee, the Remuneration and Nomination Committee should be formed within the Supervisory Board. The Members of the Supervisory Board who will be Members of the Committees must meet the requirements for competence in matters relating to the key functions and responsibilities of the relevant Committees. Each position of a Member of the Supervisory Board has such key functional elements that are mandatory for the following functions.

  • Development and monitoring of strategy implementation.

Consulting in the process of development and approval of company’s strategies formed on evidence-based analysis, supervision over business transformation for achieving the aim of development and approval of key organizational changes.

Analysis of and control over the implementation of the strategy of SE «MedProcurement of Ukraine» by approving short-term action plan, functional strategies and coordination of priorities proposed by the company’s management.

Implementation of risk management policies and procedures.

Approval of financial plan of the company, as well as control over major capital expenditures.

Identifying performance indicators for the company’s management and regular monitoring of achieving the goals aimed at the implementation of the strategy, and timely taking of necessary measures.

  • Corporate Governance.

Taking appropriate measures to ensure transparency for public confidence increase in SE «MedProcurement of Ukraine», as well as ensuring senior management adherence to the principles of transparency and compliance of its actions with the regulatory framework of Ukraine.

A key role in the implementation of the best world standards of Corporate Governance for SE «MedProcurement of Ukraine».

Ensuring compliance of the Corporate Governance system with the best national and world standards of Corporate Governance, regular assessment of its impact on the company's performance, as well as implementation of changes in Corporate Governance practices.

  • Control over the activities of the Management

Ensuring recruitment and employment of the top management (Board of Directors) of SE «MedProcurement of Ukraine» committed and able to implement the company’s strategy, effectively manage the business, ensure the achievement of the approved objectives, and introduce the necessary organizational changes.

Regular assessment of the top management performance and, where necessary, rotation and dismissal of managers; the pool of candidates for the company’s key positions management.

Taking decisions on the level of compensations to the top management, applying the schemes of incentives and annual rewards based on the results of assessment of performance and achieving of annual personal objectives and the company’s objectives.

Facilitating the Board of Directors of SE «MedProcurement of Ukraine» in ensuring financial stability of the company in crisis.

Ensuring that the company’s managers have public trust, observe the principles of transparency in compliance with legal and regulatory framework of Ukraine.

  • Alignment of interests.

Ensuring that the actions and motives of the top management of the company comply with best Corporate Governance practices, interests of the State and the Ukrainian people.

Introduction of the best ethical standards and prevention of potential and real conflicts of interest among the managers, Members of the Board of Directors, the Supervisory Board.

  • Audit and control.

Facilitating the introduction of efficient system of timely and accurate reporting in compliance with the existing and future independent audit standards for accounting, facilitating full and transparent disclosure of information including supervision over regular independent audits.

Facilitating the introduction of proper control systems, including but not limited to risk management system, financial and operational control, cyber security, business continuity systems, as well as compliance.

Ensuring public trust by introducing a proper governance system and protection of customers.

  • Transparency and disclosure of information.

Facilitating the transparency, supervision over the process of information disclosure and the quality of communications according to Ukrainian legalislation.

  • Consulting.

Consulting the company’s management in solving complicated issues, supporting key transformation projects and organizational changes in the company by means of participation in the activities of Committees of the Supervisory Board, including the Audit Committee, the Nomination and Remuneration Committee.

For participation in the Competitive Selection an Applicant should submit Application for participation in the Competitive Selection (in English and Ukrainian languages).

Along with the Application there should be:

  • a copy of the identity document, a copy of the employment record (if any) or documents confirming work experience*, a copy of the document on higher education;
  • biographic reference (resume) (in Ukrainian and English);
  • consent to personal data processing (in Ukrainian and English);
  • at least 3 reference letters from Referees with transparent business reputation (in Ukrainian or English);
  • statement on the meeting of independence criteria by a candidate to the Independent Member position of the Supervisory Board  (in Ukrainian and English);
  • letter confirming absence of conflicts of interests by a candidate to the Independent Member position of the Supervisory Board  (in Ukrainian and English);
  • motivation letter on performance of Independent Member of a Supervisory Board functions (with a volume of not more than two pages in Ukrainian and English).
